• Approval for Re-appointment of Independent Director of the company: pursuant to the provisions of Sections 149, 150, 152, 160 and other applicable provisions of the Companies Act, 2013 read with the rules made thereunder, and in accordance with the Articles of Association of the Company, approval of the Members be and is hereby accorded for the re-appointment of Mr. Niraj Nabh Kumar (DIN: 03401815) as an Independent Director of the Company, not liable to retire by rotation, for a second term of three (3) years commencing from February 05, 2026, or till he attains the age of 70 years, whichever is earlier.
