Intimation of proposed capital raising, including through an initial public offer of the equity shares by Fincare Small Finance Bank

The Bank had previously filed a draft red herring prospectus dated May 8, 2021, as updated pursuant to the addendum dated August 19, 2021. pursuant to the resolution passed by the board of directors (“Board”) of the Bank on June 17, 2022, the Bank is now re-evaluating capital raising options, including an initial public offering of its Equity Shares. 

The Offer is likely to include an offer for sale of Equity Shares by existing shareholders of the Bank(“Shareholder”) (“Offer for Sale”), subject to Shareholders holding eligible Equity Shares as per the SEBI ICDR Regulations.

The Bank intends to provide its Shareholders with an opportunity to participate as a Selling shareholder(“Selling Shareholder”) in the proposed Offer for Sale. Each Shareholder may participate in the Offer for Sale subject to various condition.
