Notice of AGM to the members of Frick India for FY24-25

Notice regarding the AGM sent to the members of Frick India for FY24-25. The e-voting would be on the following the items:

• To alter and increase in existing Authorized Share Capital of the company from Rs. 3,00,00,000/- (Rupees Three Crore Only) consisting of 30,00,000 (Thirty Lakhs Only) equity shares of Re. 10/- (Rupee Ten) each to Rs. 20,00,00,000 (Twenty Crore) divided in to 2,00,00,000 (Two Crore Only) equity shares of Rs. 10/- each by creation of 1,70,00,000 (One Crore Seventy Lakhs Only) equity shares of face value of Rs. 10/- (Rupees Ten Only) each.
• The company has decided to issue bonus equity shares to its members. A total amount of up to ₹5,39,97,750 from the Securities Premium Account will be used to issue these bonus shares. Eligible shareholders, whose names are recorded in the company’s Register of Members or listed as Beneficial Owners by NSDL and CDSL on the "Record Date" set by the Board, will receive 9 new fully paid-up equity shares for every 1 existing share they hold. These bonus shares will increase the company's paid-up capital.

The company has fixed Tuesday, 17th September 2024 as the 'cut-off date' for voting at the AGM. The voting rights of the shareholders/beneficial owners will be based on the shares held by them at the close of business hours on the cut-off date. A person who is not a member as of the cut-off date should treat the AGM notice for information purposes only. The remote e-voting period began on Monday, August 19, 2024 and ends on Tuesday, September 17, 2024.
