Board approval of merger of two wholly owned subsidiaries with Simpson and Company Limited

Simpson and Company is going to organize an extra ordinary general meeting for the equity shareholders on Friday, 30th December, 2022 at 4 PM through Video Conferencing (VC)/ Other Audio Visual Means (OAVM) to approve the scheme of Merger of Shardlow India Limited and Wheel & Precision Company Ltd. 

Shardlow India limited is a public limited company incorporated under the Companies Act, 1956 and is engaged in the business of manufacture and sale of forged and machined crankshafts.

Wheel & Precision Forgings India Limited is a public limited company incorporated under the Companies Act, 1913 and is engaged in the business of providing machining and other engineering services,

on contract basis, primarily to Shardlow India Ltd.

The Board at the meeting held on 14.10.2022 approved the proposal for considering the Merger of the wholly owned subsidiaries Shardlow India Limited ,Wheel & Precision Forgings Limited, with the holding company Simpson and Company Limited under the provisions of section 233 of the Companies Act 2013, subject to the approval of the Regional Director, MCA Chennai and such other authorities as may be necessary.
