Notice of 8th Annual general meeting of AITMC Ventures Ltd.

NOTICE is hereby given that the 8th Annual General Meeting for the Financial Year 2023-24 of the members of AITMC Ventures Limited will be held on Monday, 30th September 2024 at 12:30 P.M (1ST) at E-5A Farm Raisina Aravali Tikli Village Badshahpur/Sohna Near Pathways School Gurgaon, Haryana - 122102 to consider and transact the following business:

Ordinary Business:

• Approval of Financial Statements: To receive, consider, and adopt the standalone and consolidated audited financial statements of the company for the financial year ending March 31, 2024, along with the reports of the Board of Directors and Auditors thereon. This includes an overview of the company's financial performance and an evaluation of the company's operational and strategic activities during the year.
  
• Re-appointment of Director: To consider the re-appointment of Mr. Prem Dins (DIN: 02323124) as Director, who retires by rotation in accordance with the provisions of the Companies Act, 2013, and is eligible for re-appointment. His re-appointment aims to ensure continued leadership and direction to the company's growth.
  

Special Business:

• To approve the appointment of Ms. Preeti Sandhu (DIN: 02272843) as Managing Director of the company for a period of 5 years, effective from September 30, 2024, with gross emoluments of INR 5,00,000/- per month, effective from April 1, 2024.
