Notice of EGM to the members of B9 Beverages Ltd.

Members of B9 Beverages Ltd. are hereby notified that an Extraordinary General Meeting (EGM) is scheduled for Thursday, June 27, 2024, at 2:30 p.m. The meeting will be conducted through video conferencing or other audio-visual means to discuss and transact the following business:

• The authorized share capital of the company will be reclassified and increased, and the Capital Clause of the Memorandum of Association will be amended. The share capital will change from INR 156,42,77,446 to INR 156,47,16,196 by creating an additional 29,250 Subscription Series B Compulsorily Convertible Preference Shares at INR 15 each.
• Approval for the issuance of unlisted, secured, redeemable non-convertible debentures (NCDs) for an amount up to INR 42,00,00,000. This will be carried out through an offer letter in Form PAS-4, inviting the identified investor to subscribe to the debentures, as detailed in the table below:
  

• Approval for the issuance of 29,248 partly paid Subscription Series B Compulsorily Convertible Cumulative Preference Shares, inviting the investor to subscribe to these shares as specified in the table below:
