This had made experts wonder if 2023 would provide start-ups with new opportunities to help revive the entrepreneurial spirit among the masses. At the global start-up scale, India is all set to weather this winter comparatively more easily than most of its global competitors namely US and China as most top tier funds have accumulated a record amount of funds, an indicator that we might witness intense investment cycles in times to come. As of 7th September 2022, India has emerged as the third largest ecosystem globally with over 80,000 Start-ups to invest in India and over 100 unicorns comprising a cumulative net value of over US$ 340Bn among them, becoming the only 3rd country after US & China to achieve the milestone of 100 unicorns. One of the major contributors to building this start-up ecosystem in India has been the major improvement in India's Ease of Doing Business rankings by 23 spots over the last couple of years and India entering the Top 50 ranking in Global Innovation Index which signifies significant improvement in enabling the most innovative environment. However the promising start-up ecosystem is facing multiple challenges owing to macroeconomic conditions.

Although the depreciating value of the rupee is expected to impact them in this process. Depreciating the value of rupees will affect their funding plans, specially for those start-ups that have already raised debts in dollars. Debts will also become expensive. Rupee depreciation is also expected to shoot up the operational costs of start-ups that might have a negative impact on their net margins. All this calls for a change in the Investment scenario of Indian start-ups. The system's efforts to reverse rupee depreciation is expected to push Venture Capitalists to prioritize profitability over growth. This would also have an impact on start-ups looking to raise Seed Funding.

Buyers are typically Private Equity firms, hedge funds & other institutions willing to buy large stakes in the firm. Planify is the largest Private Equity Marketplace in India. Pre IPO is a product by Planify which brings “Private Equity for Retail Investors.” One can invest in companies that get listed on the stock market.

For the company, the placement is a way to raise funds & offset the risk that the IPO will not be successful as hoped. Moreover, & often, investors in these private sales are institutional investors & help the company with governance matters & getting institutional before going for IPO.

From the buyer's perspective, the amount per share may be discounted from the expected IPO Price, but there is no way to know the price per share that the market will pay

The company, however, does not want these private buyers to immediately sell all their shares if their stock soars once it opens on an exchange. To prevent this a lock-up period is generally attached to the placement, preventing the buyer from selling shares in the short term.

Why Pre IPO & not IPO? Pre IPO is a much more financially lucrative option compared to investing in IPO for retail investors, as when you invest in IPO with a maximum limit of 2 Lakh, you would get an allotment of 4000-6000 shares which is too low. In India, if you want to invest in Private equity you require 2 Cr. which many retail investors can’t invest. On one hand, retail investors don’t get allotment & Private Equity players don’t get investors.Planify has come up with a solution called Pre IPO. People using this product can invest in companies that haven’t been listed yet but could be listed in the near future. Planify carries out a proper analysis of companies, makes Research reports & then recommends those companies which are growing & are commercially proven. A minimum Ticket Size of 25,000 is reqd. to help even small investors to invest in partnership with Planify.

Benefits of Pre-IPO- Quality Stocks can be purchased over Quantity.Companies in which people would be investing are growing companies. In future you can sell shares at a good price & earn good profits.Investors Tip- It is far better to invest in a good company at a fair price rather than investing in an average company at a lower price.

A Pre-Initial Public Offer placement is a private sale of block of shares before a stock is listed on Public exchange.

Due to the lack of required assets, such companies cannot use conventional means to raise funds. 3. Leverage Buyout- Borrow Equity of the company using borrowed funds. In Normal investments, this is a disaster. Generally, these companies have the capacity to generate consistent cash flows but are struggling due to Bad markets etc. 4. Distressed Buyout- Invest in loss-making companies which have the potential for a turnaround. For e.g. Vedanta Group purchased Videocon. It can help Vedanta expand itself into other portfolios like Electronics, Telecom etc.
Exit Strategies: There are 5 Exit Strategies-
1. Secondary Sale- One P/E sells its shares to another P/E firm at a higher valuation is a Secondary Sale. That P/E firm might sell to another and so on & so forth. One major product Planify offers is related to the Secondary Sale of Shares. 2. Repurchase via Promoter- If Private Equity funds invest in a company & are able to turn it profitable & sustainable, then promoters suggest buying back at a higher valuation. 3. Initial Public Offer- Private Companies offer their share to the public. 4. Liquidation- When market conditions are bad or there are no buyers for the company & Private equity funds don't want to invest for a very long period. Then, instead of selling, they liquidate them by dividing these companies into parts & sell each. 5. Strategic Acquisition- Selling it to a firm that is already in that business. For Example: A private Equity Firm invested in a Restaurant Business & was able to turn it profitable with 20 branches. Now, during exit, they sell it to another existing Restaurant chain. This is a Strategic acquisition for the buyer.

Start-up Investing

Unlisted shares have quietly become one of the most talked-about investment options in India. Companies like NSE, HDB Financial Services, and Tata Capital were all available to investors in the unlisted market well before their IPOs — and that head start is exactly why more people are asking the same question: where's the safest place to actually buy these shares? Unlike listed stocks, you can't just open Zerodha or Groww and place an order. Unlisted shares trade off-market, through brokers and dedicated platforms, and the quality of that platform can make or break your experience. Here's what actually matters when picking one, and how to think through your options.
What Makes Unlisted Shares Different
Unlisted shares belong to companies that haven't listed on the NSE or BSE yet. There's no exchange setting the price — instead, values move based on company performance, demand from investors, and how close (or far) an IPO looks. Deals happen over-the-counter, meaning a broker or platform connects buyers and sellers directly, and shares get transferred straight into your demat account once the transaction closes. Because there's no exchange watching over every trade, the platform you choose carries a lot more weight than it would with listed stocks.
What to Check Before Choosing a Platform
1. Transparent pricing- A good platform shows you how it arrives at a price — recent deal history, company financials, comparable listed peers — rather than just quoting a number and asking you to trust it. 2. Real research, not just a shopping list- Look for platforms that give you actual company data: financial statements, past valuation trends, sector comparisons. If all you get is a name and a price tag, that's a red flag. 3. Demat delivery timelines- Shares should move into your demat account within a clear, reasonable window — most credible platforms manage this in a few business days. 4. Track record and compliance- How long has the platform been operating, and does it follow proper KYC and documentation standards? Unlisted markets have less regulatory oversight than exchanges, so this due diligence sits on you. 5. Range of companies- A platform covering a wide set of pre-IPO names — across fintech, NBFCs, tech, and consumer sectors — gives you more room to diversify instead of betting on one or two names.
Why Planify Stands Out
Planify checks most of these boxes directly. It offers live pricing and in-depth research across 300+ unlisted companies, spanning fintech, NBFCs, consumer brands, and tech — so you're not limited to a handful of names. Every listing comes with company-level data to help you evaluate before you commit, rather than relying on a bare price quote. Shares move into your demat account through a documented, compliant process, and the platform is accessible through both web and dedicated mobile apps for tracking your positions on the go. For investors who want research depth alongside execution, rather than choosing between the two, Planify is one of the more complete options in the current market.
Other Platforms Worth Knowing About
Beyond Planify, other active names in this space include Precize, UnlistedKraft, SharesCart, and Stockify — each with its own mix of company coverage, research depth, and transaction process. Rather than picking based on brand recall alone, it's worth comparing platforms on the exact criteria above — pricing transparency, research quality, and delivery speed — since that's where the real differences show up.
Risks Worth Keeping in Mind
Unlisted shares aren't a shortcut to guaranteed returns. Prices are negotiated, not exchange-driven, so there's a wider bid-ask gap than you'd see on NSE or BSE. Liquidity can be limited too — finding a buyer when you want to exit isn't always instant. And IPO timelines can shift or get shelved altogether, which changes the entire investment thesis. This is a market best suited to investors with a higher risk appetite and a longer time horizon, not someone looking to trade in and out quickly.
The Bottom Line
The best platform for you comes down to what you value most — deep research, a wide company list, or fast execution. Whichever one you go with, spend time on the diligence: check how prices are set, how quickly shares actually reach your demat account, and whether the platform's past investors have had a smooth experience.
